1. Agreement
These Terms of Service ("Terms") govern your use of the TelQuest platform, website and any related services (the "Service"). By signing up or using the Service you agree to be bound by these Terms.
The Service is provided by Comquest LTD, registered in England & Wales under company number 16190610, with its registered office at 3rd Floor, 86–90 Paul Street, London, EC2A 4NE.
2. Accounts and users
You must provide accurate information when creating an account and keep it up to date. You are responsible for all activity under your account, including the actions of any authorised users you invite.
Each named user requires a paid seat unless agreed otherwise in writing. Sharing credentials between individuals is not permitted.
3. The Service
We provide a hosted business telephony platform delivered over the public internet. Voice quality and availability depend on your network, devices and third-party carriers, which are outside our sole control.
We target 99.99% monthly availability for the platform's control plane. Planned maintenance is communicated in advance where reasonably practicable.
4. Acceptable use
You must not use the Service to make unlawful, harassing, fraudulent or nuisance calls; to transmit malware; to circumvent our security; or in breach of Ofcom rules including Calling Line Identification (CLI) requirements.
Automated dialling, broadcast voice, or bulk SMS is permitted only under written agreement. We may suspend or terminate accounts that breach this clause.
5. Fees, billing and taxes
Subscription fees are billed monthly in advance per active seat. Usage charges (e.g. outbound minutes, international calls, premium destinations) are billed monthly in arrears.
All fees are exclusive of VAT, which is added at the prevailing UK rate. Late payments may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998.
6. Term and termination
The Service is provided on a rolling monthly basis unless a longer term is agreed in writing. Either party may terminate for convenience at the end of a billing month with 30 days' notice.
We may suspend or terminate the Service immediately for material breach, non-payment, insolvency, or where required by law or our upstream carriers.
7. Data and confidentiality
Our handling of personal data is described in the Privacy Policy. Where we process personal data on your behalf, the data processing terms incorporated into your order form apply.
Each party will keep the other's confidential information confidential and use it only to perform under these Terms.
8. Warranties and liability
The Service is provided with reasonable skill and care. Except as expressly set out in these Terms, all other warranties are excluded to the maximum extent permitted by law.
Neither party excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law. Subject to that, each party's total aggregate liability under these Terms is capped at the fees paid by you in the 12 months preceding the event giving rise to the claim.
9. Governing law
These Terms are governed by the laws of England & Wales and the parties submit to the exclusive jurisdiction of the English courts.
